Our Experience

We are a division of Australian Legal Partners Pty Ltd. As a firm we have over 50 years of experience in the legal industry. We have assisted international and national franchisors navigate the Australian franchising landscape and expand globally with our ties with franchise lawyers in various countries. We have also assisted many franchisees get out of difficult situations. Our experience includes:

Acted for defendants in a $20m claim in the Federal Court of Australia in which the plaintiffs alleged breach of director duties, unconscionable conduct and breach of fiduciary duties.
Acted for an international franchise brand as their trusted advisors in Australia. Responsible for the grant, transfer and renewal of franchises in a network of over 80 franchisees in Australia. Acted in disputes with franchisees and provided on-going legal advice regarding various legal issues including entering into complex agreements with distributors, suppliers and shipping agents, intellectually property matters and workplace issues.
Acted for a large-scale franchisor in a dispute against a franchisee in the Supreme Court of Queensland where the franchisee sought to abandon the franchise relationship by ceasing to pay royalty and change the name and signs of the franchised business. We successfully obtained court orders for the franchisee to cease trading, return all intellectual property and hand the franchised business back to the franchisor, pay damages and part of the legal costs incurred by the franchisor.
Acted for an Australian franchisor to assist setup the brand in the United States of America, Thailand, Vietnam, Indonesia, Italy, United Kingdom and other Asian and European countries with the assistance of local franchise lawyers in each of these international locations.
Acted for a franchisor in setting up the franchise business in Australia, including preparation of all template franchise documentation including the Disclosure Document, Franchise Agreement, General Security Deed, Certificates and Questionnaires, Licence to Occupy and other documents. Also assisted in referring the franchisor to other professional service providers to assist with territory mapping, marketing and franchise development.
Acted for a franchisor in advising on grant of a master franchise in the United States of America.
Acted for a franchisor in advising on a territory development agreement in an Australian state.
Acted in a trademark and copyright dispute against a global brand which was backed by private equity with an investment of over $1 billion USD.
Acted for a franchisor in a mediation against a franchisee where franchisee alleged the franchise agreement was void because franchisor failed to provide disclosure required under the Franchise Code of Conduct and that the franchisor had made misleading financial representations etc. We assisted in finding an amicable resolution to resolve the dispute at mediation.
Acted for a franchisee against a large franchisor in a mediation. The dispute concerned a failing franchise business which the franchisee had acquired in reliance of misrepresentations from the seller and the franchisor’s representative. The franchisor agreed to purchase the business back and pay sufficient funds to the franchisee to exit.
Acted for a plaintiff in a $1.2m dispute against an insurer in which the insurer denied responsibility for a fire event. The matter settled at mediation in which the insurer agreed to pay a significant sum of money to the plaintiff.
Acted for a franchisor in a litigation against the franchisee to recover outstanding royalty and damages where the franchisee abandoned the franchise.
Acted in various disputes on behalf of franchisors against franchisees under the Franchising Code of Conduct involving alternative dispute resolution including mediations and arbitrations.
